Acceptance of Terms
These Terms of Use govern access to and use of the StakeGuard software, website, application, Offline Signer tools, recovery tools, transaction preparation tools, wallet interaction tools, and any related products or services (collectively, the “Service”).
By accessing, installing, using, or continuing to use the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Your continued use constitutes acceptance of these Terms, including the risk, liability, and refund provisions described below.
Eligibility
You represent that you are legally permitted to use the Service in your jurisdiction, have capacity to enter into these Terms, and will comply with applicable laws, regulations, sanctions, and export controls. You are solely responsible for determining whether use is lawful in your location.
Nature of the Service
StakeGuard LTD provides software tools intended to assist users with digital asset workflows, including wallet recovery, transaction preparation, transaction signing, address derivation, device-assisted signing, and related operational processes.
StakeGuard LTD is not a bank, custodian, broker, exchange, investment adviser, financial institution, fiduciary, legal adviser, or insurance provider, and provides no professional financial, legal, or investment advice.
Unless expressly stated otherwise in a separate written agreement, StakeGuard LTD does not take custody of digital assets, private keys, seed phrases, hardware wallets, or accounts.
No Guarantee of Recovery or Successful Outcome
StakeGuard LTD does not guarantee any recovery result, access restoration, successful signing, successful broadcast, successful derivation, wallet reconstruction, import, export, transaction completion, or any other specific outcome.
Wallet recovery may fail entirely or partially; addresses, balances, UTXOs, accounts, or assets may not be found; and transactions may fail to build, sign, save, relay, or confirm. Recovery outcomes depend on factors beyond StakeGuard LTD’s control.
User Assumption of Risk
You understand and expressly assume risks associated with using the Service.
Risks include partial or total loss of digital assets, loss of access, transaction failure, data corruption, user error, software defects, device incompatibility, malware, phishing, network compromise, blockchain events, and third-party outages or inaccuracies.
You voluntarily assume risks associated with entering, importing, storing, typing, pasting, viewing, or handling seed phrases, mnemonics, private keys, passphrases, XPUBs, ZPUBs, VPUBs, wallet files, or similar sensitive data.
Security Responsibilities
You are solely responsible for maintaining an appropriate security environment while using the Service, including protecting devices, screens, recovery materials, networks, addresses, amounts, fees, and wallet information.
- Keep your device and operating system under your control.
- Review addresses, amounts, fees, and networks carefully.
- Securely store backups and recovery materials.
- Use hardware wallets where supported and appropriate.
- Independently verify all outputs before acting.
StakeGuard LTD does not warrant that your environment is secure, offline, private, uncompromised, or suitable for sensitive operations.
Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAKEGUARD LTD DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND SECURITY.
StakeGuard LTD makes no warranty that the Service will meet your requirements, be secure or error-free, produce successful recovery, locate all assets, execute intended transactions, or be compatible with your device.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAKEGUARD LTD, ITS FOUNDERS, OWNERS, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, CONTRIBUTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, CLAIM, COST, OR EXPENSE ARISING OUT OF OR RELATING TO THE SERVICE.
This includes recovery failure, loss of access or assets, transaction or signing failures, incorrect derivation, device incompatibility, user errors, corrupted data, third-party failures, blockchain or network events, malware, hacking, phishing, business interruption, reputational harm, or direct, indirect, incidental, special, consequential, exemplary, or punitive damages.
No Compensation for Losses
To the maximum extent permitted by law, StakeGuard LTD has no obligation to compensate, reimburse, indemnify, refund, or otherwise make you whole for lost or unrecovered digital assets, failed recovery attempts, mistaken transactions, inaccessible wallets, operational errors, hardware or software failures, network issues, data loss, delayed recovery, or related financial losses.
Liability Cap
If, despite the foregoing, StakeGuard LTD is found liable for a claim arising from or relating to the Service, then to the maximum extent permitted by law, its total aggregate liability shall not exceed the greater of the total amount actually paid by you for the specific Service giving rise to the claim during the twelve months preceding the event giving rise to liability, or USD $0.99.
Exceptions to Liability Limitations
The limitations above apply only to the extent permitted by applicable law and do not exclude liability that cannot legally be excluded or limited, including liability arising from fraud, wilful misconduct, gross negligence where applicable, or mandatory consumer protection rights.
No Refunds Policy
ALL PAYMENTS TO STAKEGUARD LTD FOR SERVICES ARE FINAL AND NON-REFUNDABLE EXCEPT WHERE EXPRESSLY REQUIRED BY APPLICABLE LAW.
You are not entitled to a refund because the Service does not meet expectations; recovery is unsuccessful, partial, or delayed; you make an operational error; a third-party service fails; or a blockchain network issue occurs. All payments are consideration for the Service provided regardless of outcome.
Where a mandatory statutory refund or cancellation right applies, you may submit a written request within the timeframe required by applicable law to the contact address listed below.
User Responsibility for Verification
Before relying on Service output, you must independently verify wallet identity, derivation paths, addresses, balances, UTXOs, transaction recipients and amounts, network selection, fees, and signing intent. StakeGuard LTD is not responsible for losses caused by failure to verify outputs before use.
Third-Party Services and Dependencies
The Service may interact with third-party hardware devices, firmware, APIs, block explorers, node providers, broadcasters, libraries, or external infrastructure. StakeGuard LTD does not control and is not responsible for availability, accuracy, security, legality, reliability, or behavior of third-party systems.
Prohibited Use
You may not use the Service for unlawful purposes; in violation of sanctions, export controls, or financial regulation; to infringe rights; to obtain unauthorized access; to distribute harmful code; to impair the Service; to commit or facilitate fraud; or to violate intellectual-property rights.
Indemnification
You agree to defend, indemnify, and hold harmless StakeGuard LTD and its affiliates, officers, directors, employees, contractors, licensors, and agents from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of your use or misuse of the Service, violation of these Terms, violation of law or third-party rights, or wallet, transaction, asset, or recovery workflow actions initiated or approved by you.
Waiver and Release
To the maximum extent permitted by law, you waive and release StakeGuard LTD from claims arising from your use of the Service, failure or inability to recover digital assets, or losses incurred in relation to recovery or signing workflows. This clause does not affect rights that cannot legally be waived.
Suspension and Termination
StakeGuard LTD may suspend, restrict, disable, or terminate access to all or part of the Service, with or without notice, including where misuse, abuse, security issues, legal concerns, or operational concerns are suspected. Upon termination, any applicable license to use the Service terminates immediately.
Dispute Resolution and Venue
Before initiating formal proceedings, you are encouraged to contact StakeGuard LTD to attempt to resolve a dispute in good faith. Subject to mandatory applicable law, any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be brought exclusively before the competent courts located in Tel Aviv, Israel.
Changes to These Terms
StakeGuard LTD may update these Terms from time to time. Updated Terms become effective when posted unless otherwise stated. Continued use after the effective date constitutes acceptance of revised Terms.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to conflict-of-laws principles. Subject to mandatory law, the exclusive venue for disputes is the competent courts located in Tel Aviv, Israel.
Severability
If any provision is held invalid, illegal, or unenforceable, the remaining provisions remain in full force to the maximum extent permitted by law, and any affected provision shall be interpreted or modified only as necessary to make it enforceable where permissible.
Entire Agreement
These Terms constitute the entire agreement between you and StakeGuard LTD regarding the Service unless superseded by a separate written agreement signed by an authorized representative of StakeGuard LTD.

Consumer-Law Carveout
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law. If your jurisdiction provides mandatory rights or remedies, those rights and remedies remain unaffected to the extent required by law.
